What licenses and registrations do I need to start a small retail shop in Chicago, IL?

The owner wrote: “I want to sell paratha rolls, snow balls, candy, chips, and sandwiches around the city of Chicago.”

Congratulations on The Umbrella! You can start small at markets and craft fairs, learn what sells, and grow into a storefront when the regulars demand it. Since your goals are to limit exposure from sales, clients, employees, or debt and manage self-employment tax, the LLC sits at the center of this plan. Here is what we will cover: how to structure The Umbrella, the tax IDs it needs, and the licenses that let you open in Chicago, then a quick recap.

Paratha rolls, sandwiches, and snow balls make a tasty plan, but each lands in a different bucket: ready-to-eat rolls and sandwiches need food-safety approvals and a licensed kitchen, snow balls are a frozen treat with their own handling rules, and packaged candy and chips are the easy part. Selling around Chicago from a cart or truck adds rules about where you may park and sell. All of it is taxable, so you need an Illinois sales tax registration, called a certificate of registration, before your first sale, and The Umbrella should be registered as an LLC or under an assumed name. With two employees, you will also need Illinois withholding.

What The Umbrella needs

  1. LLC (limited liability company) – An LLC shields your house, car, and savings from claims against the business, and it looks more established to customers and banks. A rare item that turns out to be stolen property could drag you into a dispute, and an LLC keeps your savings protected. Once profits grow, an LLC can elect S corporation tax treatment, which can lower self-employment tax; ask a tax adviser when the numbers justify it.
  2. DBA (doing business as) registration – Registering "The Umbrella" tells the public who stands behind the name. If you form an LLC under that exact name, the LLC filing itself protects the name and a separate DBA is usually unnecessary.
  3. EIN (federal tax ID number) – You plan on 2 employees, so the federal tax ID number (EIN) is required for payroll, and you will also use it for the business bank account and supplier accounts.
  4. Illinois sales tax registration – Register before the first sale. If online orders from another state grow large, that state may expect you to register there too, since each state sets its own sales threshold.
  5. Illinois employer ID – With 2 employees, you need a state employer account number for payroll withholding and unemployment insurance. It works like the EIN, but for state payroll taxes.
  6. Business license – A business license puts The Umbrella on the official map in Chicago, which landlords, banks, and many customers will expect to see before they sign anything.

By the numbers: Banks, insurers, and tax forms will ask for your industry code. For a small retail shop it is NAICS 453998 (All Other Miscellaneous Store Retailers), 459999 under the 2022 update. With 2 employees planned, you are already creating jobs in Chicago. That makes 6 items on your list.

Tip: Ask each market organizer whether they need a temporary vendor permit or proof of insurance before booth day.

To recap: The Umbrella in Chicago, IL needs an LLC, a DBA, an EIN, a sales tax permit, a state employer ID, and a business license. Handle these early and the business starts on solid ground.

Trying to get an idea of what I want to do, is an LLC the same as a seller's permit? Hi.... I'm opening a business here in Arizona and I need to get a seller's permit I don't have an EIN because I do not carry payroll for them, they are on a booth rental, are you all able to help me retrieve the seller's permit?

I have an EIN number already from a previous a business, but it wasn't merchandise I'm not worried about employees, it'll be just me.

Furthermore, I have a better understanding thanks, So do I have to get a selling permit myself or would you all help me with that? So since I'm not using a trade name, I'm using a name that hasn't been used yet, so will that still be considered an LLC ?

A: You will need a seller's permit to buy the retail store items wholesale. When you buy an LLC you also get an LLC operating agreement. REQUIRED LLC LIMITED LIABILITY DOCUMENTS AND LICENSES
LLC Refers to the Legal Company Structure

The legal structure is selected during retail business registration. If you choose to be an LLC, you do not need to file a Doing Business As (DBA) Certificate . About 60% of new retail businesses select an LLC when choosing a corporate structure. For example, if you are the sole owner, you can file a DBA and so select the sole proprietorship structure or select the LLC structure to be a corporate entity because LLC s afford corporate protections such as business and personal liability protections.
Thus, when starting a retail business whether an online, home, store, concession stand or a mobile cart, you will need to first select among sole owner/proprietor, partnership, LLC or corporation, all of which also require a   General Business License (not a specific license to your type of retail business, necessarily but a requirement for LLC companies as well as for any business) b) as well. If you decide to be a sole proprietorship instead of an LLC, and the trade name is a business name other than your full personal legal name, you will need to file a   Doing Business As (DBA) Certificate . For instance, your name is John Doe, and you do business as Best retail Items By John, the name must be registered with a   DBA Biz Name document is called a DBA certificate because Best Items By John is not your full legal name. Also, note that whatever item that you sell or lease, and it is an item that can be touched (i.e., tangible such as retail equipment, toys, merchandise, electronics, prepared food) requires a state sales tax ID (  Seller's Permit  ) to either buy or sell the items or retail products wholesale and or sell them retail. If you or your LLC are hiring workers within the next 30 days, you will need a   Federal EIN   and a   State EIN   (employer identification number).

Even if you treat the LLC as a disregarded entity, you can use your social security to conduct business, it is not recommended. And other instances that you will need a federal tax ID are: if you are a partnership, a retail independent contractor, and a corporation or an LLC treated as a corporation.

You can also obtain a federal tax ID as the sole proprietor and use it as a business tax ID in place of a social security number. However, all retail businesses need at least 2-5 business registrations, so you will still need other registrations, such as licenses, an assumed business name DBA, and tax IDs as described above.

Finally, even one person, sole owner/proprietors working from home or just online, can form an LLC or incorporate, in which case, they will not need to file a DBA, and they will be members of the LLC.

How do I get a small retail shop in Georgetown, IL licensed and registered?

Hi Dennis, a small retail shop in Georgetown is a promising idea. You can start small at markets and craft fairs, learn what sells, and grow into a storefront when the regulars demand it. The LLC comes first here, because it decides who is responsible when something goes wrong. Below we walk through the three things every new business in Illinois sorts out (structure, tax IDs, and licenses) and then sum it all up.

What your small retail shop needs

  1. LLC (limited liability company) – An LLC shields your house, car, and savings from claims against the business, and it looks more established to customers and banks. A rare item that turns out to be stolen property could drag you into a dispute, and an LLC keeps your savings protected.
  2. DBA (doing business as) – If you plan to operate under a brand name instead of your own name or your LLC's exact name, register that name first.
  3. EIN (federal tax ID number) – You plan on 9 employees, so the federal tax ID number (EIN) is required for payroll, and you will also use it for the business bank account and supplier accounts.
  4. Illinois sales tax registration – You will be selling taxable goods, so register to collect sales tax before your first sale. It also lets you buy inventory for resale without paying tax on it.
  5. Illinois employer ID – With 9 employees, you need a state employer account number for payroll withholding and unemployment insurance. It works like the EIN, but for state payroll taxes.
  6. Business license – A business license puts your small retail shop on the official map in Georgetown, which landlords, banks, and many customers will expect to see before they sign anything. Home occupation rules commonly cap client visits and delivery trucks on a residential street, so read them before you print business cards.

By the numbers: Banks, insurers, and tax forms will ask for your industry code. For a small retail shop it is NAICS 453998 (All Other Miscellaneous Store Retailers), 459999 under the 2022 update. With 9 employees planned, you are already creating jobs in Georgetown. That makes 6 items on your list.

Tip: Write down where every sourced item came from; provenance records protect you when selling rare or collectible goods.

To recap: Your small retail shop in Georgetown, IL needs an LLC, a DBA if you use a brand name, an EIN, a sales tax permit, a state employer ID, and a business license. With the paperwork done, the fun part begins: serving your first customers.

I need advice on business insurance, finding investors, a website and advertising for my record label. Does the LLC service include the state fee and an operating agreement?
10/14/2026 5:04 AM

For a record label, an LLC is the right base. You handle artists' contracts, royalties and releases, and the LLC separates any dispute from your personal assets. The state's filing charge is shown apart from our service fee on the order page, and the operating agreement is prepared with your LLC, so your bank can open the account.

• Insurance: ask an insurance agent about general liability and media liability for a label, plus coverage for equipment.
• Investors: they usually want a formed LLC, an operating agreement and clean books first, then a clear plan for how their money is used.
• Website and advertising: register the name and open the bank account before you spend on promotion.

A surety bond is not what you need. Insurance protects you from claims, while bonds guarantee performance in certain regulated trades.

Do I need an LLC and a tax ID if my items are not taxable in my state? I also need to register a business at an address in Georgia.
10/14/2026 5:04 AM

Yes, an LLC still makes sense even when your products are not taxable. Taxability is only about sales tax, while the LLC is about protecting your personal assets from product and customer claims, and about credibility. With investors in mind, a formal company is what they will want to see.

On the tax ID, you still need an EIN for banking and federal taxes, since that is separate from sales tax. A seller's permit may not be needed if everything you sell is exempt, but many suppliers and marketplaces still ask for one, so check with them. Health and beauty products can be taxable in other places, so check where you sell.

For the Georgia address, I cannot supply an office location. Register the business at the real place where you operate, or use a registered agent's address for state papers. A local business license depends on that location.

I live in New York and want to start a mobile petting zoo. I also want to sell gift baskets by taking the order and having a company ship it. What do I need, and can I charge sales tax?
10/14/2026 5:04 AM

A mobile petting zoo carries real risk, since children and animals mix and a bite or a fall could lead to a claim. An LLC is the proper vehicle, because it separates that exposure from your personal assets, and it can bring in investors. A foreign owner is fine for an LLC.

• Petting zoo: animal exhibits are regulated, so expect animal health paperwork, permits for events, and liability insurance that venues will ask for.
• Business license, locally, plus approvals for each event location.
• EIN, for banking and taxes.

For the gift baskets, to charge sales tax you need a seller's permit, which in New York is registered as a certificate of authority. Even if you never touch the product or the money, if you take the order and your company is the seller, you generally must be registered to collect tax. If the other company is the seller of record, it may handle that, so clarify who sells.

How long does it take to get a reseller's permit in New York with expedited service? I do not have a certificate of authority for my LLC. I also have questions about zoning for a home inspection business.
10/14/2026 5:04 AM

In New York, the sales tax registration is called a certificate of authority, and a reseller's permit is built on it, so you do need one for your LLC. We can file it with expedited handling, which moves faster than standard processing, but I cannot promise a specific number of days because timing depends on the application.

Home inspection is a service, so the permit matters mainly if you also sell products or tools that are taxable. Your LLC fits the business well: inspectors face claims when something is missed, and the LLC separates those from your personal assets.

• Zoning: a home office is usually allowed, but you do not need a vote from the town council in most cases. Ask locally whether a home occupation approval applies.
• Professional license: home inspectors are licensed in many places, so confirm before you take clients.

File the certificate of authority well before your first sale, since New York asks that you register in advance.

What license do I need to buy seafood in Louisiana, transport it to Tennessee and sell it to restaurants and the public, and do I need a wholesale license?
10/14/2026 5:04 AM

Form an LLC before anything else. Moving fresh shrimp and other seafood across state lines involves spoilage, illness and vehicle risks, and the LLC protects your personal assets while showing restaurants that they are dealing with an established company. A foreign owner can hold an LLC, too.

• EIN, for the account, payroll and supplier accounts.
• Seller's permit: it works as your wholesale and resale registration, so you can buy without tax and sell with tax. You may need one wherever you sell.
• Seafood dealer permit: seafood is regulated at each step, including buying, cold storage and delivery, so ask where your product is sourced and sold.
• Business license, locally.

Whether you open a fish market or a restaurant, each needs its own food permits and inspections.
